Plan of Arrangement:
The TSX Venture Exchange (the "Exchange") has approved Gold Bull Resources Corp. ("Gold Bull") and Borealis Mining Company Limited ("Borealis") plan of arrangement (the "Plan of Arrangement"), pursuant to which Borealis agreed to acquire all of the issued and outstanding common shares of Gold Bull by way of a statutory plan of arrangement under the Business Corporations Act (British Columbia).
The Plan of Arrangement was approved by Gold Bull shareholders on February 28, 2025 at an annual general and special meeting of shareholders. Gold Bull received a final order from the Supreme Court of British Columbia on March 6, 2025 in connection with the Plan of Arrangement.
Pursuant to the Plan of Arrangement each Gold Bull shareholder will receive 0.93 of a common share of Borealis for each one Gold Bull share held.
The Plan of Arrangement is fully described in Gold Bull's Management Information Circular dated January 24, 2025.

Delist:
In accordance with the above, the common shares of Gold Bull Resources Corp. will be delisted from the Exchange. Accordingly, effective at the close of business Friday, March 14, 2025 the common shares of Gold Bull Resources Corp. will be delisted.
