TSX Venture Exchange has accepted for filing an amending agreement dated May 26, 2025 (the 'Amending Agreement') between the Company and the optionor with respect to an option agreement dated August 14, 2020, as previously amended on February 14, 2024 (collectively the 'Agreement'). The Agreement was accepted by the Exchange on May 7, 2024. The Amending Agreement amends the terms by eliminating remaining work expenditure commitments and provides the issuer with a 100% interest in the "OGI Property", subject to an underlying royalty. In consideration of the Amending Agreement the Company will provide an additional 300,000 Common shares to the optionor, and $50,000 in cash.
