Capitalization: 14,784,554 Warrants, authorized by the warrant indenture dated August 22, 2025, of which up to 23,000,000 Warrants are authorized for issuance.

Each Warrant entitles the holder thereof to purchase one common share of the Company ("Share") at an exercise price of $1.10 per Share at any time until August 22, 2027.
