TSX Venture Exchange Inc. (the "Exchange") has accepted for filing documentation in connection with the arrangement between Taura Gold Inc. ("Taura") and Roxmore Resources Inc. (formerly, Axcap Ventures Inc.) ("Roxmore"), pursuant to the terms of an arrangement agreement dated September 8, 2025, and a court-approved plan of arrangement under the Business Corporations Act (British Columbia) (the "Arrangement").
Pursuant to the terms of the Arrangement (completed on November 20, 2025), Roxmore acquired all of the issued and outstanding common shares of Taura (each, a "Taura Share"). As a result of the completion of the Arrangement (and after giving effect to the consolidation of the common shares of Roxmore completed on November 19, 2025), holders of Taura Shares are entitled to receive 0.2 of a post-consolidated common share of Roxmore for each Taura Share held.
The Exchange has been advised that approval of the Arrangement by shareholders of Taura was received at an annual general and special meeting of shareholders held on November 14, 2025. The Supreme Court of British Columbia provided its final order approving the plan of arrangement on November 19, 2025. The Exchange has been advised that the Arrangement closed on November 20, 2025. Delist:
Further to the completion of the Arrangement, effective at the close of business on Friday, November 21, 2025, the common shares of Taura Gold Inc. will be delisted from the TSX Venture Exchange at the request of the Company.
