TSX Venture Exchange ("Exchange") has accepted for filing documentation the Exploration Agreement with Option to Purchase agreement dated September 16, 2025 ("Agreement") between the Company and an arm's length party ("Vendor"). Pursuant to the terms of the Agreement, the Vendor has granted the Company the right of way to access and explore ("Exploration Right") the owned and leased land comprising the Trinity Silver Project in Pershing County, Nevada, (the "Project") for a two-year period from the effective date ("Term"). As consideration for the Exploration Right, the Company has paid the Vendor $50,000 USD in cash and has issued 100,000 common shares of the Company ("Shares"). In addition, upon the first anniversary of Exchange approval, the Company will remit a subsequent $100,000 USD cash payment and issue and additional 300,000 Shares.
At any time during the Term, the Company will have the option to purchase and acquire the Project from Vendor through a one-time cash payment of $350,000 USD, and the one-time issuance of 700,000 Shares. If the Company acquires the Project, the Vendor will retain a 2% net smelter returns royalty ("NSR") of which the Company will have the right to reduce the NSR from 2% to 1% through a one-time cash payment of $3,500,000 USD.
The Exchange acknowledges that the Company will pay a finder's fee of 7.5% cash and 7.5% in Shares ("Finder Shares") to an arm's length party to the Company ("Finder"), for all considerations paid under the Agreement. Based on the aggregate cash and Share issuances contemplated, the Company may pay the Finder up to 82,500 Finder Shares. In connection with the closing of the first payment, the Company has paid the Finder $3,750 USD in cash and issued 7,500 Finder Shares.
