TSX Venture Exchange has accepted for filing documentation relating to an option agreement dated August 25, 2023, an amending agreement dated September 29, 2024, and a second amending agreement dated October 16, 2025, between a subsidiary of the Company, and an arm's length party (the "Optionor") over the consolidated minerals rights of the Lithium Creek Property in Nevada (the "Property"). Pursuant to the terms of the second amending agreement, the Company will make the following amendments.
The cash option payment of US$150,000 that was due on August 25, 2025, is reduced to US$75,000.
The exploration and development expenditures due to have been completed on or before August 25, 2025, are reduced from US$700,000 to US$434,000.
The exploration and development expenditures due to be completed on or before August 25, 2026, have been increased from US$1,000,000 to US$1,266,000.
The company is to issue 2,700,000 common shares to the optionor at a deemed price of $0.05.
All the other terms and conditions of the Option Agreement remain unchanged.
