Property-Asset or Share Purchase Agreement:
TSX Venture Exchange (the "Exchange") has accepted for filing documentation pertaining to a definitive purchase agreement dated June 3, 2025 (the "Agreement") among Sherpa II Holdings Corp. (the "Company") and District Metals Corp. ("District") in connection with the purchase of the remaining ownership of the Bakar property (the "Bakar Property") located on Northern Vancouver Island, British Columbia.
Under the Agreement, the Company has agreed to acquire from District the 24.48% interest in Bakar Property that it didn't already own. Consideration was 1,500,000 shares of the Company.
No finder's fee was payable in connection with the Agreement.
