TSX Venture Exchange Inc. (the "Exchange") has accepted for filing documentation in connection with an arrangement agreement dated October 7, 2025, between Cornish Metals plc ("Cornish UK"), Cornish Metals Inc. (the "Company") and 17373171 Canada Inc. under the provisions of the Canada Business Corporations Act (the "Plan of Arrangement").
Pursuant to the Plan of Arrangement, shareholders of the Company received 1 common shares of Cornish UK for each 10 common shares of the Company held.
The Exchange has been advised that approval of the Plan of Arrangement by the Company's shareholders was received at a special meeting of shareholders held on December 3, 2025 and that the final court order approving the Plan of Arrangement was received from the Ontario Superior Court of Justice on December 11, 2025. The Plan of Arrangement was completed on December 16, 2025.

Delist:
In connection with the completion of the Plan of Arrangement, the Company will be delisted from the Exchange. Accordingly, effective at the close of trading, Tuesday, December 16, 2025, the common shares of the Company will be delisted at the request of the Company.
