TSX Venture Exchange (the "Exchange") has accepted for filing a Share Purchase Agreement dated November 21, 2025 and the Amendment Agreement dated November 27, 2025 among Americore Resources Corp. ("Company") and an arm's length seller (the "Seller"), pursuant to which the Company has acquired 100% of the 42 mineral claims located in Pershing County, Nevada (the "Seka Claims"). The acquisition is structured wherein the Company is required to pay US$100,000 and issue 250,000 common shares to the Seller upon Exchange approval of the transaction and US$100,000 in cash and issuance of 250,000 common shares payable 15 months following Exchange approval.
Pursuant to the Amendment Agreement, the Company acknowledged and accepted that there is a 0.5% Net Smelter Return royalty granted on the claims ("NSR"). One half of the NSR may be purchased at any time by the Company for a price of US$250,000.00.
