TSX Venture Exchange Inc. (the "Exchange") has accepted for filing documentation in connection with an arrangement agreement between the Company and Mawson Finland Limited ("Mawson") dated September 14, 2025 (the "Agreement"). Pursuant to the Agreement, First Nordic has acquired all of the issued and outstanding common shares of Mawson by way of a plan of arrangement under the provisions of the Business Corporations Act (Ontario) (the "Transaction"). Under the Agreement, each Mawson shareholder received 1.7884 of a common shares of First Nordic for each Mawson share held.
The Exchange has been advised that approval of the Transaction by the shareholders of Mawson was received at a special meeting of Securityholders held on December 4, 2025 and that the final order from the Supreme Court of Ontario approving the Transaction was received on December 8, 2025. The Transaction completed on December 16, 2025.
