Property-Asset or Share Purchase Agreement:
TSX Venture Exchange (the "Exchange") has accepted for filing documentation pertaining to a non-arm's length share exchange agreement dated October 30, 2025 (the "Agreement"). Pursuant to the Agreement, Sun Peak Metals Corp. (the "Company") has acquired 100% of the shares of Saudi Discovery Company SPV Limited ("SDC") for consideration of 58,065,356 shares of the Company.
SDC is a privately held mineral exploration company that holds a number of exploration licenses in Saudi Arabia.
No finder's fee was payable in connection with the Agreement.
