TSX Venture Exchange has accepted for filing documentation pertaining to a License Agreement (the "Agreement") dated May 10, 2024, between the Company and a non-arm's length party (the "Licensor"), whereby the Company has access to D'ONT Poke The Bear brand intellectual property, including the trademarks (the "DPTB IP") in order to market, distribute and sell any product that incorporates any part of the DPTB IP (the "Rights"), which was approved by the Company's majority shareholders at Special Meeting held on December 22, 2025.
Under the terms of the Agreement, the Company has obtained the Rights in exchange for a 10% royalty cash payment of the Net Revenue on all products sold under DPTB IP worldwide.
Additionally, the Company has a right to acquire the DPTB IP from the Licensor at a price that is the greater of $1,700,000 in cash or 6 times the EBITDA, as such term is defined in the Agreement, provided the Licensor decides to sell DPBT IP to a third party or the Company undergoes a Change of Control. Alternatively, if the Rights are terminated after the first 5-year term, the Company may acquire the DPTB IP at $1,700,000 and, if the Rights are not extended after 10th anniversary of the Agreement's effective date for $3,500,000 payment.
