Effective at the open on Wednesday, February 18, 2026, the common shares of AAJ Capital 3 Corp. (the "Company") will resume trading on TSX Venture Exchange Inc., a news release having been issued on February 9, 2026, announcing that the proposed acquisition of XRP Healthcare M&A Holding Inc. ("XRP Healthcare") pursuant to a share exchange agreement dated July 14, 2025 among the Company, XRP Healthcare and the XRP Healthcare shareholders, as previously announced on dated May 19, 2025 and July 16, 2025 has been terminated.
This transaction was intended to constitute the Company's Qualifying Transaction as defined in Exchange Policy 2.4.
