Effective at the opening on March 24, 2026, the common shares of Ventra Metals Corp. (the "Company") will commence trading on the TSX Venture Exchange (the "Exchange").
The Company is classified as an 'Other Metal Ore Mining' company (NAICS code 21229).
Prior to and in connection with the listing of the Company's common shares on the Exchange, the Company's Non-Offering Prospectus dated March 13, 2026, has been filed with and receipted by the British Columbia Securities Commission (the Principal Regulator). The Prospectus was also filed and receipted in Alberta, Ontario, and Nova Scotia to enable the Company to become a reporting issuer in those jurisdictions.
The Prospectus qualified the distribution of 3,472,228 Common Shares issuable for no additional consideration upon the deemed exercise of 3,472,228 special warrants of the Company (each, a "Special Warrant"). The Exchange has been advised that the conversion of the Special Warrants was completed on March 18, 2026.

Capitalization: Unlimited common shares with no par value of which
16,172,328 common shares will be issued and outstanding upon the deemed exercise of the Special Warrants.
Escrowed Securities: 2,200,100 common shares are subject to Principal escrow under National Policy 46-201
