Effective at the opening Wednesday, April 22, 2026, the common shares of the Company will commence trading on TSX Venture Exchange. The Company is classified as a 'Copper-Zinc Ore Mining.' company.
On April 17, 2026 Black Pearl Resources Corp. ("Black Pearl"), an unlisted reporting issuer, 001474534 Ontario Inc., a wholly-owned subsidiary of Black Pearl and Errington Metals Inc. ("Errington") completed a three-cornered amalgamation (the "Amalgamation"). Consideration for the Amalgamation consisted of the issuance of 46,423,100 Resulting Issuer shares (which includes the private placement shares referenced below) to former securityholders of Errington at a deemed price of $1.25 per share. In connection with the Amalgamation, Black Pearl completed a share consolidation on a 22.878875 (old) for 1 (new) share basis. Black Pearl as constituted following the completion of the Amalgamation is referred to herein as the "Resulting Issuer".
In connection with the Amalgamation, the Resulting Issuer's name was changed to Errington Metals Corp.
Concurrent with the transaction, Errington completed a private placement of subscription receipts, which were exchanged for 2,846,000 common shares of the Resulting Issuer at an effective price of $1.25 per share. The Agent and certain members of its selling group in connection with the private placement received aggregate cash fees of $176,625.
17,052,422 common shares issued to Principals pursuant to the Amalgamation are subject to a Tier 2 Escrow Agreement to be released over a 36-month period.
