TSX Venture Exchange has accepted for filing an Option Termination and Concession Purchase Agreement (the "Agreement") dated April 24, 2026 with respect to the arm's length acquisition of a 100% interest in the La Joya Project, located in Ancash, Peru (the "Property"). The Property consists of 3 mining concessions. The Agreement provides the following consideration:
