LI-FT POWER LTD. ("LIFT") BULLETIN TYPE: Property-Asset or Share Purchase Agreement BULLETIN DATE: May 28, 2026 TSX Venture Tier 2 Company
TSX Venture Exchange has accepted for filing documentation pertaining to a binding scheme implementation deed (the "Scheme Agreement"), dated December 15, 2025 (Perth, Australia time), between Li-FT Power Ltd. (the "Company") and Winsome Resources Limited ("Winsome"). On May 21, 2026, the Company completed the acquisition of all the issued securities of Winsome pursuant to Scheme Agreement. Under the scheme for Winsome shareholders, eligible shareholders received 0.107 of a new Li-FT common share (or 0.107 of a CHESS Depository Interest ("Li-FT CDI") representing 0.107 of a Li-FT common share) for each Winsome ordinary share held. This resulted in the issuance of 27,136,492 Li-FT Common Shares (consisting of 25,879,073 Li-FT CDIs and 1,257,419 Li-FT Common Shares). Concurrently, all 18,288,900 outstanding Winsome Options were acquired pursuant to a separate option scheme, with optionholders receiving 722,092 Li-FT Common Shares (consisting of 691,694 Li-FT CDIs and 30,398 Li-FT Common Shares). In total, the transaction resulted in the issuance of 27,858,584 Li-FT Common Shares. The Exchange has been advised that Winsome shareholders and optionholders approved the schemes of arrangement on May 5, 2026. The Supreme Court of Western Australia approved the schemes of arrangement on May 11, 2026, and the transaction closed on May 21, 2026. The transaction is arm's length in nature, and no finder's fees are payable.
