TSX Venture Exchange ("Exchange") has accepted for filing documentation the Share Exchange Agreement dated April 27, 2026 ("Agreement") between the Company and a related party ("Vendors"). Pursuant to the terms of Agreement, the Company has acquired all the issued and outstanding common shares of Nuevo Silver Inc. ("Nuevo"), including Nuevo's 100% interest in the La Negra Mine, in Queretaro, Mexico. As consideration in the Transaction, the Company has paid the Vendors an aggregate of 16,802,283 common shares of the Company on a pro rata basis. Additionally, the Vendor has been granted the right to nominate a director to the Company's board of directors.
