Alzai Health Corp.'s (the 'Company') Initial Public Offering ('Offering') Long Form Prospectus dated April 21, 2026, has been filed with and accepted by TSX Venture Exchange, and filed with and receipted by the Ontario Securities Commission on April 22, 2026, pursuant to the provisions of the applicable Securities Acts and has been filed and accepted under Multilateral Instrument 11-102 Passport System in British Columbia and Alberta.
The gross proceeds to be received by the Company for the Offering are $4,050,000 (10,125,000 units at $0.40 per unit, each consisting of 1 common share and one half of one common share purchase warrant, with each whole warrant exercisable into 1 common share at $0.60 per share for 24 months from closing date, subject to an acceleration right as set out in the warrant indenture between the Company and Odyssey Trust Company, as warrant agent). The Offering is expected to include a partial exercise of an over-allotment option granted by the Company to the Agent. The Company is classified as a 'Research and development in the physical, engineering and life sciences' company (NAICS Number 54171).
Listing Date: At the close of business (5:01 p.m. EST) on Monday, June 8, 2026, the common shares will be listed on TSX Venture Exchange.
Commence Date: The common shares will commence trading on TSX Venture Exchange at the opening Tuesday, June 9, 2026, upon confirmation of closing.
The closing of the public offering is scheduled to occur before the market opening on June 9, 2026. A further notice will be issued upon receipt of closing confirmation.

Over-Allotment Option: The Agent is expected to partially exercise its over-allotment option to the extent of 125,000 shares and 62,500 common share purchase warrants. The Company has granted an Over-Allotment Option entitling the Agent to purchase a total of up to 1,500,000 shares at a price of $0.40 and 750,000 common share purchase warrants up to 48 hours prior to closing.
