TSX Venture Exchange has accepted for filing documentation the Arrangement Agreement dated May 11, 2026, and Second Amending Agreement dated June 10, 2026 (together, the "Agreement") between the Company and Gold Basin Resources Corporation ("Gold Basin"). Pursuant to the terms of the Agreement, the Company has acquired the remaining issued and outstanding common shares of Gold Basin ("Gold Basin Shares"), resulting in the Company owning a 100% interest in Gold Basin ("Arrangement"). Gold Basin shareholders have received 0.592 of a common share of the Company for every one (1) Gold Basin Share held.
