BULLETIN TYPE: Qualifying Transaction-Completed/New Symbol; Name Change; Reinstated for Trading

TSX Venture Exchange (the "Exchange") has accepted for filing Inceptus Capital Ltd.'s ("Inceptus" or the "Company") Qualifying Transaction ("QT") and related transactions described in its Prospectus dated March 2, 2026.
As a result, at the opening on Friday, June 26, 2026, the Company will no longer be considered a Capital Pool Company.
The QT includes the following matters, all of which have been accepted by the Exchange:
Qualifying Transaction - Completed / New Symbol
Pursuant to a share exchange agreement dated February 5, 2024, as amended, the Company has acquired all of the issued and outstanding securities of Smartwell Technology Inc. ("Smartwell") on a one-for-one exchange basis. In connection with the closing, the Company issued 97,730,000 common shares to the former shareholders of Smartwell.
Concurrently with the QT, Smartwell completed a concurrent financing consisting of 15,000,000 units at a price of $0.20 per unit for total gross proceeds of $3,000,000. Each unit consists of one common share and one common share purchase warrant exercisable at $0.50 for a period of 24 months. These securities were exchanged for equivalent securities of the Resulting Issuer on a one-for-one basis at closing.

Name Change
Pursuant to a directors' resolution, the name of the Company has been changed from "Inceptus Capital Ltd." to "Smartwell Technology Corp."
Effective at the opening on Friday, June 26, 2026, the common shares of Smartwell Technology Corp. will commence trading on the TSX Venture Exchange under the new symbol "SMWE", and the common shares of Inceptus Capital Ltd. will be delisted.
The Company is classified as a 'Technology' company.
Capitalization: Unlimited shares with no par value of which 117,477,500 shares are issued and outstanding
Escrow: 66,452,784 common shares subject to Tier 2 escrow
