TSX Venture Exchange has accepted for filing documentation the Agreement of Purchase and Sale dated May 31, 2026 (the "Agreement"), among the Issuer and arm's length parties (the "Purchaser"). Pursuant to the terms of Agreement, the Issuer has sold to the Purchaser the right, title and interest of the Wilson Creek project in consideration for $98,000,000 in cash, with up to $7,000,000 in contingent consideration to be paid in quarterly installments starting Q3 2026, based on certain performance metrics.
