Plan of Arrangement
Pursuant to special resolutions passed by the shareholders of Rhyolite Resources Ltd. ("RYE") on June 12, 2026, RYE and Gold Hart Copper Corp. ("HART") have completed a plan of arrangement (the "Arrangement") under Section 193 of Part 15 of the Business Corporations Act (Alberta). The Arrangement was completed on June 29, 2026, and has resulted in HART acquiring all of the issued and outstanding common shares of RYE for consideration consisting of one common share of HART for every 2.6 common shares of RYE acquired.

Delist
As a result of the completion of the Arrangement, effective at the close of business on Friday, July 3, 2026, the common shares of RYE will be delisted from TSX Venture Exchange.
