TSX Venture Exchange has accepted for filing documentation relating to a share purchase agreement (the "Agreement") dated June 29, 2026, between Scandium Canada Ltd. (the "Company") and arm's length parties. Pursuant to the Agreement, the Company has acquired all of the issued and outstanding shares in the capital of 9480-3798 Quebec inc. (doing business as Ferreol Technologies, "Ferreol Technologies"), a company engaged in research and development, processing, and production activities of aluminum products and other alloys incorporating scandium.

The Company is also assuming certain of Ferreol Technologies' obligations and liabilities in an estimated aggregate amount of five hundred thirty-eight thousand one hundred and thirty-one dollars ($538,131).
Following closing, Ferreol Technologies has been renamed Scalium+ Inc. ("Scalium+") and is now a wholly owned subsidiary of the Company dedicated to the commercialization of aluminum-scandium (Al-Sc) alloys.

Bourse de croissance TSX a accepte le depot de documents relative a une convention d'achat d'actions (la " convention ") datee du 29 juin 2026, entre Scandium Canada Ltee (la " societe ") et des personnes sans lien de dependance. Conformement a la convention, la societe a acquis la totalite des actions emises et en circulation du capital-actions de 9480-3798 Quebec inc. (faisant affaire sous le nom de Ferreol Technologies, " Ferreol Technologies "), une entreprise active en recherche et developpement ainsi qu'en transformation et en production de produits d'aluminium et d'autres alliages contenant du scandium.

La societe assume aussi certaines obligations et de certains passifs de Ferreol Technologies, pour un montant global estime a cinq cent trente-huit mille cent trente et un dollars (538 131 $).
A la cloture, Ferreol Technologies a ete renommee Scalium+ Inc. (" Scalium+ ") et est desormais une filiale en propriete exclusive de la societe, vouee a la commercialisation des alliages aluminium-scandium (Al-Sc).
