The Company's Initial Public Offering (the "Offering") Prospectus dated June 25, 2026, has been filed with and accepted by the TSX Venture Exchange, and filed with and receipted by the Ontario Securities Commission on June 25, 2026.
The Prospectus was also filed under Multilateral Instrument 11-102 Passport System (the "Instrument") in Alberta, British Columbia, Manitoba, New Brunswick, Newfoundland and Labrador, Northwest Territories, Nova Scotia, Nunavut, Prince Edward Island, Saskatchewan, Yukon. A receipt for the Prospectus is deemed to be issued by the regulator in each of those jurisdictions, if the conditions of the Instrument have been satisfied.
The gross proceeds to be received by the Company upon closing of the Offering are a minimum of $10,000,000 (10,000,000 units at $1.00 per unit) and a maximum of $15,000,000 (15,000,000 units at $1.00 per unit).
The Company is classified as an 'Industrial, Technology or Life Sciences' company.
Commence Date: At the opening July 9, 2026, the Common shares will be listed and immediately halted on TSX Venture Exchange.
