TSX Venture Exchange has accepted for filing documentation with respect to an arm's length acquisition of substantially all of the assets and specified liabilities of Viral Loops (the "Acquisition"), pursuant to an Asset Purchase Agreement (the "Agreement") dated February 19, 2026, between the Company and an arm's length vendor (the "Vendor").
Pursuant to the terms of the Agreement, the Company has acquired the assets by providing the following consideration to the Vendor: (i) a $2,100,000 cash payment, and (iii) a $200,000 promissory note, which does not bear any interest and is payable at the 1-year anniversary of the closing date.
