Plan of Arrangement
TSX Venture Exchange Inc. (the "Exchange") has approved a plan of arrangement under Section 288 of the Business Corporations Act (British Columbia) (the "Arrangement") between Erda Resource Opportunities Inc. (formerly, Fancamp Exploration Ltd.) ("Erda" or the "Company") and Goldera Exploration Ltd. ("Goldera") pursuant to the terms of an arrangement agreement (the "Arrangement Agreement") entered into between the parties dated May 28, 2026.
Pursuant to a conveyance agreement between the Company and Goldera dated May 28, 2026, the Company transferred certain of its core mineral exploration assets to Goldera in consideration for 46,905,567 common shares of Goldera ("Goldera Shares"). In accordance with the terms of the Arrangement Agreement, pursuant to the Arrangement, 34,749,514 of these Goldera Shares were distributed to the holders of Erda common shares ("Erda Shares") on the basis of 1/7th of a Goldera Share per Erda Share held on the effective date of the Arrangement.
The Exchange has been advised that approval of the Arrangement by the Company's shareholders was received at the annual general and special meeting of the Company's shareholders (the "Meeting") held on July 24, 2026 and that the final order of the Supreme Court of British Columbia approving the Arrangement was received on July 29, 2026. The Arrangement was completed on July 30, 2026.
Name Change
Pursuant to a resolution passed by the directors of the Company on May 4, 2026, the Company has changed its name as follows. There is no consolidation of capital.
Effective at the opening August 5, 2026, the common shares of Erda Resource Opportunities Inc. will commence trading on TSX Venture Exchange, and the common shares of Fancamp Exploration Ltd. will be delisted.
Change of Business
The Exchange has approved the Company's "change of business" from a Tier 2 Mining Issuer to a Tier 2 Investment Issuer pursuant to Exchange Policy 5.2 - Changes of Business and Reverse Takeovers (the "Change of Business").
The Company's shareholders approved the Change of Business at the Meeting.
Effective at the opening, Wednesday, August 5, 2026, the Name Change will take effect and the ERDA Shares will commence trading on the Exchange under the symbol "ERDA".
