Effective at the opening on August 5, 2026, the common shares ("Common Shares") of Goldera Exploration Ltd. ("Goldera") will commence trading on TSX Venture Exchange (the "Exchange"). The NAICS number is 212299. The Company is classified as an "All Other Metal Ore Mining" company.
The Company was incorporated as a wholly-owned subsidiary of Fancamp Exploration Ltd. ("Fancamp") which, pursuant to a conveyance agreement between Fancamp and the Company dated May 28, 2026, transferred certain of its core mineral exploration assets to the Company in consideration for 46,905,567 Common Shares. In accordance with an arrangement agreement between Fancamp and the Company dated May 28, 2026, 34,749,514 of these Common Shares were distributed to the holders of Fancamp common shares ("Fancamp Shares") on the basis of 1/7th of a Common Share per Fancamp Share pursuant to a statutory arrangement under Section 288 of the Business Corporations Act (British Columbia).
The Company's Listing Application dated July 29, 2026 has been filed and accepted by the Exchange and the Exchange has confirmed its final acceptance of the listing of the Common Shares.
