Effective at the close of business on Wednesday, August 5, 2026, the common shares of SSC Security Services Corp. ("SECU") will be delisted from TSX Venture Exchange. The delisting of SECU shares results from the completion of a court-approved plan of arrangement under the provisions of the Business Corporations Act, 2021 (Saskatchewan) (the "Arrangement"), pursuant to an arrangement agreement among Universal Protection Service, LP ("Allied"), 102236724 Saskatchewan Ltd., a wholly-owned subsidiary of Allied (the "Purchaser") and SECU dated May 26, 2026 (the "Arrangement Agreement"). Pursuant to the Arrangement Agreement, the Purchaser acquired all of the issued and outstanding common shares of SECU.
As a part of, and concurrent with, the Arrangement, SECU and its wholly-owned subsidiary, Logixx Security Inc. ("Logixx"), also disposed of their legacy agriculture and cyber security businesses to a corporation controlled by SECU's management for aggregate consideration of $2,625,695.16 (including assumption of liabilities), pursuant to a management buyout transaction (the "MBO"). In addition, as part of the Arrangement, the Purchaser, SECU and Logixx amalgamated to form "Logixx Security Inc."
Under the terms of the Arrangement, each SECU Shareholder is entitled to receive $4.4075 in cash for each common share of SECU held. The Exchange has been advised that approval of the Arrangement by SECU shareholders was received at a special meeting of shareholders held on July 22, 2026 and that a final order approving the Arrangement was issued by the Court of King's Bench of Saskatchewan on July 27, 2026. The Arrangement became effective on July 31, 2026.
