TSX Venture Exchange ("Exchange") has accepted for filing documentation the Asset Purchase Agreement dated June 8, 2026 ("Agreement"), between the Company's wholly-owned subsidiary ("Purchaser") and an arm's length party ("Vendor"). Pursuant to the terms of Agreement, the Purchaser has acquired certain principal business assets of the data centre business from the Vendor in consideration for cash payment of US$250,000 an issuance of 800,000 common shares of the Company ("Shares"). The Shares have been issued in escrowed and will be released in four equal tranches at 6-, 12-, 18- and 24-months following August 4, 2026.
