Effective at the opening Wednesday, August 26, 2026, the common shares of the Company will be listed and IMMEDIATELY HALTED on TSX Venture Exchange pending completion of the Plan of Arrangement of Aldebaran Resources Inc. The Company is classified as a 'gold and silver ore mining' company.
The Company's Listing Application dated August 24, 2026, has been filed with and accepted by TSX Venture Exchange.
Pursuant to a Plan of Arrangement, Aldebaran Resources Inc. will distribute its 18,544,058 Company common shares to Aldebaran shareholders. As a result, the Company will cease to be a majority-controlled subsidiary of Aldebaran, and instead, will become a stand-alone corporate entity owning 100% of its subsidiaries, Aldebaran Argentina SA and Minera El Toro SA.
The Qualifying Property is located in Argentina.
1,720,000 options and 1,415,000 warrants issued to Principals are subject to a Tier 1 Escrow Agreement to be released over an 18-month period upon listing. In accordance with the Exchange's Seed Share Resale Restrictions, 585,000 warrants issued to non-Principals are legended and will be released over a 12-month period.
As part of the closing of the Arrangement, the Subscription Receipts issued in connection with the following previously closed Private Placements will be converted to Company common shares.
