TSX Venture Exchange ("Exchange") has accepted for filing documentation the Asset Purchase Agreement dated May 20, 2026 and the Amending Agreement dated July 2026 (together the "Agreement"), between the Company and an arm's length party (the "Vendor"). Pursuant to the terms of Agreement, the Company has acquired the assets of the Vendor. As consideration for the acquisition, the Company has paid a cash consideration of $50,000 at closing and will pay an additional performance-based cash amount of up to $50,000 based on certain target thresholds. Additionally, the Company has issued the Vendor 352,849 common shares in the capital of the Company ("Shares") at a deemed price of $0.1259 per Share. The Shares have been issued in escrow and will be released to the Vendor over a 2-year period.
