TSX Venture Exchange has accepted for filing documentation pertaining to a Property Sale Agreement (the "Agreement") dated July 21, 2026, between Benton Resources Inc. (the "Company") and an arm's length party (the "Vendor"). Pursuant to the terms of the Agreement, the Company will acquire a 100% interest in mineral licence 040650M (comprising 2 claim units), tying onto its Dominion Copper-Gold-Zinc project in Newfoundland. By way of consideration, the Company will issue 17,500 common shares to the Vendor. The Property is subject to a 2% Net Smelter Royalty ("NSR") in favour of the Vendor. The Company has the right, at any time, to purchase one-half of the NSR (1%) by paying $1,000,000 to the Vendor.
