TSX Venture Exchange has accepted for filing documentation pertaining to a Property Sale Agreement (the "Agreement") dated July 21, 2026, among Benton Resources Inc. (the "Company"), Metals Creek Resources Corp., and an arm's length party (the "Vendor"). Pursuant to the terms of the Agreement, the Company, jointly with Metals Creek Resources Corp., will acquire a 100% interest (50% to the Company and 50% to Metals Creek Resources Corp.) in two mineral licences encompassing 50 claim units in the Deer Lake basin and Parson's Pond area, Newfoundland. By way of consideration for its 50% interest, the Company will issue 82,500 common shares to the Vendor. The Property is subject to a 2% Net Smelter Royalty ("NSR") in favour of the Vendor. The Purchasers have the right, at any time, to purchase one-half of the NSR (1%) by paying $1,000,000 to the Vendor.
