The Company's Non-Offering Prospectus (the "Prospectus"), dated September 14, 2026, has been filed with and accepted by the TSX Venture Exchange and filed with and receipted by the British Columbia Securities Commission on September 16, 2026.
The Prospectus has been filed under Multilateral Instrument 11-102 Passport System in Alberta, Saskatchewan, Manitoba and New Brunswick. A receipt for the Prospectus is deemed to be issued by the regulator in each of these jurisdictions, if the conditions of the Instrument have been satisfied. This receipt also evidences that the Ontario Securities Commission has issued a receipt for the Prospectus.
In connection with the Prospectus, the Company closed an offering (the "Offering") in three tranches, issuing (i) 8,328,709 special warrants (each, a "Special Warrant") on June 3, 2026 for gross aggregate proceeds of $5,830,096; (ii) 3,163,263 Special Warrants on June 23, 2026 for gross aggregate proceeds of $2,214,284; and (iii) 147,004 Special Warrants on July 17, 2026 for gross aggregate proceeds of $102,902.
Each Special Warrant has now converted into one share of the Company.
In addition to the above, the Company will complete a private placement of 5,526,999 common shares at a price of $0.70 per common share for gross proceeds of $3,868,899.
The common shares of the Company are listed at the market opening Tuesday, September 22, 2026 and IMMEDIATELY HALTED on the TSX Venture Exchange.
The Company is classified as a 'Junior Mining' company.
