TSX Venture Exchange (the "Exchange") has accepted for filing an Amendment and Reinstatement agreement dated July 13, 2026, (the "Agreement") in connection with an Unsecured Promissory Notes (the "LOC") for a total of USD$3,000,000 between Petro-Victory Energy Corp. (the "Company") and a Private Company, formed by Thomas Cooper and other Arm's Length Parties (the "Lender"). Pursuant to the Agreement the LOC term now mature on July 31, 2028, and bears an interest rate of 14% per annum. Additionally, the Exchange has accepted for filing the issuance of up to 6,968,361 bonus warrants of the company which are exercisable at $0.61 per (1) common share, with an expiration date of July 31, 2028, in connection with the Agreement.
