TSXV Sandbox Exit
Reference is made to the New Listing-Shares bulletin dated June 20, 2025.
TSX Venture Exchange has confirmed that the Company has met the required TSXV Sandbox Exit Conditions as described in the June 20, 2025 bulletin.
Therefore, effective at the open, Tuesday, September 29, 2026, the Company's listing will exit from TSXV Sandbox and become a regular listing. The Company is classified as an "investment (oil and gas royalties)" company.
As a result of the retroactive application of the escrow release schedule from the June 20, 2025 date, 166,330,013 common shares and 166,163,715 warrants remain in escrow.
Property-Asset or Share Purchase Agreement
TSX Venture Exchange has accepted for filing documentation pertaining to a royalty purchase and sale agreement dated September 24, 2026 and a gross overriding royalty agreement dated September 24, 2026 between the Company and an arm's length vendor whereby the Company acquired a 9% gross overriding royalty on the vendor's working interest in producing oil and gas properties located in southwest Alberta. Total consideration for the arm's length acquisition was $15,000,000 cash.
