TSX Venture Exchange Inc. (the "Exchange") has accepted for filing documentation in connection with an arrangement agreement dated July 27, 2026, between Global Battery Materials Corp. and Lomiko Metals Inc. (the "Company") under the provisions of the Business Corporations Act (British Columbia) (the "Plan of Arrangement").
Pursuant to the Plan of Arrangement, shareholders of the Company received cash consideration of C$0.13 per share held and warrant holders received, for each in-the-money warrant held, a cash payment equal to the amount by which C$0.13 exceeded the exercise price of such warrant.
The Exchange has been advised that approval of the Plan of Arrangement by the Company's securityholders was received at a special meeting of securityholders held on September 23, 2026 and that the final court order approving the Plan of Arrangement was received from the Supreme Court of British Columbia on September 28, 2026. The Plan of Arrangement was completed on October 6, 2026.

Delist:
In connection with the completion of the Plan of Arrangement, the Company will be delisted from the Exchange. Accordingly, effective at the close of business, Wednesday, October 7, 2026, the common shares of the Company will be delisted at the request of the Company.
