TSX Venture Exchange has accepted for filing documentation with respect to the second amending agreement dated June 17, 2026 (the "Second Amending Agreement") with an arm's length party (the "Vendor") in respect of a royalty and participation agreement between the Vendor and the Company dated March 30, 2023, as amended by an amending letter dated December 6, 2023. Pursuant to the Second Amending Agreement, the Company, at its discretion, can abandon, relinquish, terminate or not renew properties relating to the agreements with the Vendor (the "Relinquished Property") and the Vendor is waiving its rights in respect of the Relinquished Property.
In consideration of the Vendor's waiver, the Company will issue the following:
