Plan of Arrangement (Scheme):
TSX Venture Exchange has accepted for filing the Scheme Implementation Deed dated June 2, 2026, (the "Arrangement") between the Company and Central Asia Metals PLC ("CAML"). Pursuant to the terms of the Arrangement, CAML will acquire 100% of the issued and outstanding ordinary shares of the Company ("CYG Shares"), resulting in CAML owning a 100% interest in the Company. Pursuant to the Arrangement, the Company shareholders will receive 0.06 of a new common share of CAML for every one (1) CYG Share held. The Company's shareholders have voted in favour of the Arrangement at the September 18, 2026 shareholder meeting, pursuant to the Scheme Booklet dated August 13, 2026.
Delist:
Effective at the close of business October 26, 2026, the common shares of Cygnus Metals Limited will be delisted from TSX Venture Exchange at the request of the Company.
