The TSX Venture Exchange (the "Exchange") has accepted for filing documentation pertaining to the Agreement for the Exploration and Purchase Option of Mining Properties, dated May 5, 2025 (the "Agreement"), between the Company and an arm's-length party (the "Owners"). The Agreement relates to the Archibarca II and Archibarca III properties (the "Properties"), located immediately south of the Company's Rio Grande Project. Under the terms of the Agreement, the Company has been granted the exclusive option to purchase the Properties, which includes the right to conduct comprehensive exploration activities on the Properties. In consideration the Company shall pay the Owners the total amount of US$800,000, composed of US$ 550,000 in cash and US$ 250,000 in shares of NOA Lithium Brines Inc, with an Exchange rate equal to $1.00USD = $1.3611CAD. The shares shall be priced at the greater of (i) the previous days' closing market price of the NOA Lithium Brines Inc.'s shares as listed on the TSX Venture Exchange or such other recognized exchange in Canada where the NOA Lithium Brines Inc. shares are listed, and (ii) $0.30 CAD per share. Pursuant to these terms, a total of 1,134,250 common shares will be issued in connection with this transaction. Payments and share issuances will be completed in accordance with the following schedule:
