Further to the TSX Venture Exchange (the "Exchange") bulletin dated August 19, 2026, and the expiry of the Company's Rights Offering on September 10, 2026, the Exchange has accepted for filing the Rights Offering pursuant to which 10,094,315 units at a price of $0.02 were issued for gross proceeds of $201,886.30. Each unit consists of one (1) share and one (1) share purchase warrant. Each four warrant entitles the holder to purchase one (1) share of the Company at $0.07 for a one-year period. A total of 3,938,040 units were issued pursuant to the stand-by commitments.
A total of 984,510 non-transferable bonus warrants were issued to five (5) stand-by guarantors for their stand-by commitments. Each bonus warrant will be exercisable to acquire one common share of the Company at an exercise price of $0.07 per share until September 10, 2027.
