Property-Asset or Share Purchase Agreement
TSX Venture Exchange (the "Exchange") has accepted for filing documentation with respect to two (2) arm's length subscription agreements (together "the Agreements") between McChip Resources Inc. (the "Company") and an arm's length party: Labrador Gold Corp. (TSXV: LAB) ("LAB" or "Vendor"). Pursuant to the terms of the Agreements, the Company through participation in a private placement of flow-through and non-flow through share offering conducted by LAB, acquired an aggregate of 28,601,154 common shares of LAB, representing approximately 9.995% of LAB's issued and outstanding common shares (and together with joint actor Matachewan Consolidated Mines, Limited ("MCMA" and together with the Company, the "Investors"), 19.99% of LAB's issued and outstanding common shares).
As consideration for the acquisition, the Company paid an aggregate cash consideration of $1,430,057.70 to LAB.
Further, the Investors have also entered into an investor rights agreement with LAB, pursuant to which the Investors received certain board nomination rights, pre-emptive and top-up participation rights, amongst others.

Property-Asset or Share Disposition Agreement
TSX Venture Exchange has also accepted for filing documentation pertaining to the Company's arm's length disposition of 4,282,000 MCMA common shares held by the Company for aggregate gross proceeds of $1,284,600. The Exchange has been advised that the marketable securities were sold by the Company on July 17, 2026, pursuant to a private arm's length share purchase agreement with an arm's length purchaser.
