TSX Venture Exchange has accepted for filing documentation with respect to the arm's length acquisition pursuant to Share Sale and Purchase Agreements (the "Agreements") dated July 3, 2026, between the Company and certain arm's length Vendors, whereby the Company acquired 3,914,150 common shares (the "Shares") of SPX Management Limited ("SPX"), a company incorporated in Hong Kong, which, together with its subsidiaries, provides full-service sports representation, marketing and sports event management in the Republic of Korea, representing a 27.29% ownership interest in SPX.
In exchange for the Shares, the Company issued to the Vendors an aggregate of 39,141,500 common shares of the Company at a deemed price of $0.10 per share.
