BULLETIN V2026-3406

VIZSLA COPPER CORP. ("VCU")
BULLETIN TYPE: Property-Asset or Share Purchase Agreement
BULLETIN DATE: November 5, 2026
TSX Venture Tier 2 Company

TSX Venture Exchange has accepted for filing documentation with respect to the arm's length acquisition of a 100% interest in the Delta Project and the Helm Bay Project pursuant to the Securities and Asset Purchase Agreement dated September 8, 2026 (the "Agreement") among Vizsla Copper Corp. (the "Company"), Vizsla Copper US Acquisitions LLC (the "Purchaser") and Agnico Eagle (USA) Limited (the "Vendor").

Pursuant to the terms of the Agreement, the aggregate consideration consists of:

* 22,523,283 common shares issued on closing (the "Initial Share Consideration");
* 2,903,490 common shares issued following receipt of disinterested shareholder approval (the "Deferred Share Consideration");
* 3,041,480 warrants issued on closing, exercisable to acquire up to 3,041,480 common shares at an exercise price of C$1.95 for a period of two years from the date of issuance; and
* a 2.0% net smelter return royalty on the Delta Project and 3.0% net smelter return royalty on the Helm Bay Project.

Both the Initial Share Consideration and Deferred Share Consideration will be issued at a deemed price of C$1.26 per common share. The Deferred Share Consideration is subject to disinterested shareholder approval, as it is expected to result in Agnico Eagle Mines Limited ("Agnico"), the Vendor's parent company, holding approximately 22.0% of the issued and outstanding common shares of the Company. If the Deferred Share Consideration has not been issued by January 31, 2027, the Company will instead issue a non-interest bearing promissory note in equivalent cash value to the unissued Deferred Share Consideration. The shareholder meeting is expected to be held on November 18, 2026.

The Company will also pay up to C$20,000,000 in milestone payments in respect of the Delta Project payable in cash or common shares at the Company's election subject to a floor price of C$1.26 per common share. Any milestone payment that would result in Agnico holding 20% or more of the issued and outstanding common shares of the Company will be satisfied in cash.

On closing of the Transaction, Agnico and the Company will also enter into an Investor Rights Agreement.

The transaction is arm's length in nature. No finder's fee was paid.
