TSX Venture Exchange Inc. (the "Exchange") has accepted for filing documentation in connection with the arrangement between Silver47 Exploration Corp. ("Silver47") and Bunker Hill Mining Corp. ("Bunker Hill"), pursuant to the terms of an arrangement agreement dated August 20, 2026 (the "Arrangement Agreement"), and a court-approved plan of arrangement under Part 9, Division 5 of the Business Corporations Act (British Columbia) (the "Arrangement").
Pursuant to the terms of the Arrangement, Bunker Hill acquired all of the issued and outstanding common shares of Silver47 (each, a "Silver47 Share") for 0.1724 of a common share of Bunker Hill (each, a "Bunker Hill Share") for each Silver47 Share (the "Exchange Ratio").
Holders of outstanding Silver47 options to purchase Silver47 shares (each, a "Silver47 Option") exchanged their Silver47 Option for an option (each, a "Replacement Option") entitling the holder to purchase Bunker Hill Shares. The number of Bunker Hill Shares underlying each Replacement Option will equal the number of Silver47 Shares underlying the Silver47 Option multiplied by the exchange ratio of 0.1724. The exercise price of each Replacement Option will equal the exercise price of the corresponding Silver47 Option divided by the Exchange Ratio.
Holders of outstanding Silver47 share purchase warrants (each, a "Silver47 Warrant") exchanged their Silver47 Warrants for a share purchase warrant of Bunker Hill (each, a "Replacement Warrant") based on the Exchange Ratio, with the exercise price divided by the Exchange Ratio. Holders of outstanding Silver47 restricted share units (each, a "Silver47 RSU") were deemed to be immediately and unconditionally vested to the fullest extent and be settled for Silver47 Shares immediately prior to the effective time of the Arrangement. These resulting Silver47 Shares were exchanged for Bunker Hill Shares.
The Exchange has been advised that approval of the Arrangement by shareholders of Silver47 was received at a special meeting of shareholders held on October 27, 2026. The Supreme Court of British Columbia provided its final order approving the plan of arrangement on November 2, 2026. The Exchange has been advised that the Arrangement closed on November 6, 2026. Delist:
Further to the completion of the Arrangement, effective at the close of business on Monday, November 9, 2026, the common shares of Silver47 will be delisted from the TSX Venture Exchange at the request of Silver47.
