TSX Venture Exchange has accepted for filing an offering (the "Offering") of USD$518,700 principal amount of secured non-convertible debentures (the "Debentures") to arms-length length subscribers (collectively the "Lenders"). The Debentures have a purchase price of USD$950 with a face value of USD$1,000 per Debenture. Maturing on December 31, 2028 from issuance, the Debentures will carry an interest rate of 9% per annum, payable semi-annually.
